Distribution Agreement
A distribution agreement set outs the terms under which two parties, the Supplier and the Distributor, conduct a legally binding business relationship whereby the Supplier provides goods and/or services to the Distributor for resale in a specified territory.
Such agreements normally address the identities of the parties, the context of the agreement, the definition of goods and/or services, rights granted, marketing, supply of goods and/or services, payment for goods and/or services, intellectual property, confidentiality, technical support, rights and responsibilities of both parties, warranties, and restrictions on the Distributor.
